Club Constitution
Article 1
The organization governed by this constitution shall be known as the Fellowship Camera Club.
Article 2
The purpose of this club shall be to facilitate the exchange of ideas and experiences relating to photography, to provide lectures and programs on photography to the public, and to promote interest in amateur photography.
Article 3
Membership shall comprise paid members who have submitted a fee to the treasurer as provided in the by-laws.
Article 4
The elected officers of this club shall comprise a President, Vise-President, a Secretary, a Treasurer, and a Program Chairman. The duties and election procedures for these offices shall be provided in the by-laws.
The President may appoint other officers. No officer may hold more than one elective office at one time. Any officer may resign from office by filing written notice with the board of directors.
Article 5
This club shall be directed by a Board of Directors, which shall comprise all of the elected officers and two members to be appointed by the President.
Article 6
In the event that an elective office becomes vacant, the Board of Directors shall appoint a member to serve until a successor is elected.
Article 7
A quorum of this club shall comprise one-third of its members, including three elected officers.
A quorum of the Board of Directors shall comprise a majority of its members including three elected officers.
Article 8
The President or the Program Chairman may appoint committees which shall continue to function until they have completed the services for which they were appointed and have reported to either the President or Program Chairman.
Article 9
The fiscal year of the club shall be from the first day of July to the last day of June.
Article 10
This constitution may be amended at a regular meeting or at a special meeting by a two-thirds vote of the members. All members shall be informed of the proposed amendments in advance of the meeting.
Article 11
By-laws, which are consistent with this constitution, may be adopted and existing by-laws deleted at a regular meeting or a special meeting by two-thirds vote of the members. All members shall be informed of the proposed changes in advance of the meeting.
Article 12
This constitution shall be declared adopted and any former Constitution declared void when so approved by two-thirds of the members.
